CULT GAIA VEGAS GETAWAY SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

These Official Rules govern the Cult Gaia Vegas Getaway Sweepstakes (“Sweepstakes”). By participating, you agree to comply with and be bound by these Official Rules.

1. ORGANIZER AND SPONSOR
This Sweepstakes is organized and sponsored by Cult Gaia, LLC ("Sponsor"), located at 8111 Beverly Boulevard, Floor 2, Los Angeles, CA 90048. Void where prohibited by law. Subject to all applicable federal, state, and local laws and regulations.

2. ELIGIBILITY: 
Open only to legal residents of the 50 United States and the District of Columbia, excluding residents of Florida, Rhode Island, and U.S. territories and possessions (including Puerto Rico), who are 21 years of age or older at the time of entry. Employees of the Sponsor, its affiliates, partners, advertising and promotion agencies, and immediate family members or persons living in the same household are not eligible to enter.

3. SWEEPSTAKES ENTRY PERIOD: 
The Sweepstakes begins on June 16, 2025 at 10:00AM PT and ends on June 23, 2025 at 11:59 PM PT.

4. HOW TO ENTER: 

There are two (2) methods of entry during the Sweepstakes Entry Period. You may only enter the Sweepstakes once, using one of the following two (2) methods:

Method #1: 
To enter the Sweepstakes via Instagram you must do all of the following: 
(a) Follow @CultGaia on Instagram; 
(b) Like the designated giveaway post made by @CultGaia; 
(c) Tag one (1) friend; and
(d) Share the post to your Instagram story or feed and include #CultGaiaSweepstakes.

Method #2:  To enter the Sweepstakes without social media or purchase via the Alternate Method of Entry (AMOE) you must visit https://cultgaia.com/pages/sweepstakes and follow all online entry instructions to complete and submit the entry form. 

Limit one entry per person. Entries must comply with Instagram’s Terms of Use. Entries will not be valid from restricted locations. Entry that requires tagging and sharing may only be counted if the entrant’s Instagram account is public at the time of verification. Private or expired content/shares will not be visible or verifiable and may not qualify for entry.

5. ALTERNATE METHOD OF ENTRY (AMOE): 
To enter without making a purchase or engaging on Instagram, visit https://cultgaia.com/pages/sweepstakes and complete the form with your name, email, and state of residence. Entrants must confirm they are not residents of Florida, Rhode Island, or U.S. territories. Limit one AMOE entry per person. Sponsor reserves the right to verify all information submitted through the Alternate Method of Entry (AMOE).

6. PRIZE: 
One (1) winner will receive a trip for the winner and one (1) guest to Las Vegas, NV including: 
– Roundtrip Private Jet Travel from Los Angeles to Las Vegas 
– $10,000 Shopping Spree at Cult Gaia Las Vegas (“Shopping Spree”) 
– Two-night suite stay in Las Vegas 

Approximate Retail Value (ARV): $34,300. Actual value may vary depending on travel dates and market conditions. Any difference between ARV and actual value will not be awarded. Prize is non-transferable and may not be substituted, exchanged, or redeemed for cash, except at Sponsor’s sole discretion. All items selected during the Shopping Spree are final sale; no returns, exchanges, or store credit will be accepted. Travel to and from Los Angeles is not included. Winner and guest are responsible for travel to and from Van Nuys Airport in Los Angeles, CA to begin the trip. However, if the winner resides 150 miles or more outside of Los Angeles, Sponsor will reimburse documented transportation expenses up to $800 total. The winner and guest are solely responsible for all additional expenses not explicitly stated, including but not limited to meals, ground transportation, incidentals, insurance, and personal costs. Travel dates will be coordinated between the winner and Cult Gaia and must occur within 3 months of winner confirmation. Travel is subject to availability and must be booked at least 30 days in advance. Sponsor is not responsible for delays, cancellations, or acts beyond its control. Blackout dates may apply. If travel is not scheduled within that time, prize components may be forfeited at Sponsor’s discretion. Sponsor reserves the right to revoke any unused portion of the prize if winner or guest engages in disruptive, illegal, or unsafe behavior. Sponsor does not guarantee the availability of specific food or beverage accommodations and is not responsible for any dietary or allergy-related issues. Alcohol may be served only to guests age 21 or older with valid government-issued ID, and service is at the sole discretion of the venue. If the confirmed winner declines the private jet portion of the prize due to tax considerations or personal preference, Sponsor may offer an alternative travel option (e.g., roundtrip first-class commercial airfare from a major airport near the winner’s residence to Las Vegas). Any substitution is at Sponsor’s discretion, subject to availability, and must be mutually agreed upon. No cash alternative will be provided.

7. WINNER SELECTION: 
One (1) winner will be selected in a random drawing from all eligible entries on or about June 25, 2025. Winner will be notified via Instagram DM and/or email and must respond within 48 hours.

8. WINNER REQUIREMENTS: 
Winner must select one (1) guest. All attendees must be 21+ U.S. residents and willing to sign a liability waiver. Winner must respond within 48 hours and submit all required documentation, including a W-9, within five (5) business days of notification. A 1099-MISC will be issued, and the winner must accept responsibility for all applicable taxes. Sponsor may require additional documentation, including proof of identity, age, and residency. Sponsor reserves the right to conduct background checks on potential winners and may disqualify based on information found. Failure to respond within 48 hours or submit required documentation may result in forfeiture of the prize, in which case an alternate winner may be selected. Sponsor is not responsible for lost or misdirected communications due to spam filters or inaccurate contact information. The winner’s guest must be confirmed by Sponsor at the time of booking and may not be changed once approved. Sponsor reserves the right to reject a proposed guest who does not meet eligibility or conduct requirements.

9. GENERAL CONDITIONS: 
Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes at its sole discretion. Sponsor reserves the right to verify eligibility and disqualify any entry for tampering, fraud, or violation of these rules including, but not limited to: creating multiple accounts; using automated systems or bots; submitting false or misleading information; impersonating another person; or otherwise tampering with or attempting to undermine the legitimate operation of the Sweepstakes. Any attempt to deliberately damage any website or platform, or to undermine the legitimate operation of this Sweepstakes, may be a violation of criminal and civil laws, and Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law. Any false or misleading information may result in immediate disqualification. Incomplete, duplicate, or fraudulent entries will be disqualified. Multiple entries under different identities, accounts, or email addresses may be disqualified at Sponsor’s sole discretion. Sponsor may disqualify any individual who tampers with the entry process or violates these Terms. If the prize becomes unavailable, Sponsor reserves the right to substitute a prize of equal or greater value.  Sponsor assumes no responsibility for technical failures, human error, unauthorized intervention, or fraudulent activity. If any factor impairs the integrity of the Sweepstakes, Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes at its sole discretion. Sponsor reserves the right to disqualify any participant whose conduct, submissions, social media posts, or public comments (on or off Instagram) are deemed, in Sponsor’s sole discretion, to be offensive, abusive, disruptive, or harmful to the brand’s reputation or integrity of the Sweepstakes.

10. PRIVACY: 
All information submitted is subject to Cult Gaia’s Privacy Policy (https://cultgaia.com/pages/privacy). By entering, participants consent to the collection and use of their information for Sweepstakes administration and marketing communications, in accordance with the Sponsor’s Privacy Policy. Your information may be shared with third-party service providers to administer the Sweepstakes and prize fulfillment. Entrants may receive marketing emails and can unsubscribe at any time.

11. PUBLICITY: 
By accepting the prize, the winner grants Cult Gaia the right to use their name, likeness, and story in promotional materials without additional compensation, unless prohibited by law. The winner grants Sponsor an irrevocable, royalty-free, worldwide license to use their name, likeness, and biographical information in any media, now known or later developed, without further compensation, unless prohibited by law.

By entering, you:

-       Grant Sponsor and its affiliates an irrevocable, worldwide, royalty-free license to use your name, image, likeness, handle, and any User-Generated Content (UGC) in connection with the Sweepstakes or for promotional and marketing purposes, in any media, without additional compensation, unless prohibited by law.

-       Agree to provide one (1) high-resolution photo and one (1) short video clip (if requested) documenting your experience with the prize.

-       Assign all rights, including intellectual property rights, to any UGC submitted or generated in connection with this Sweepstakes.

-       Waive all moral rights and rights of attribution.

-       Represent and warrant that any content submitted or posted by you does not infringe third-party rights and has appropriate permissions from depicted individuals.

12. THIRD-PARTY DISCLAIMER: 
This Sweepstakes is not affiliated with, endorsed by, or sponsored by Instagram. Sponsor is not responsible for entry visibility limitations caused by Instagram privacy settings. Any third-party trademarks used in connection with the Sweepstakes are the property of their respective owners and do not imply sponsorship or endorsement.

13. FORCE MAJEURE:

Sponsor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, weather, war, terrorism, pandemics, labor disputes, or governmental actions.

Except where prohibited by law, Sponsor is not responsible for:

-       Technical failures, including website or platform outages

-       Late, lost, misdirected, or incomplete entries

-       Travel delays, cancellations, or issues caused by airline, hotel, or third-party partners

-       Illness, injury, force majeure, or events beyond Sponsor’s control that may prevent prize delivery or enjoyment

-       Any indirect, incidental, or consequential damages related to participation in the Sweepstakes or use of the prize

Sponsor recommends that the winner obtain appropriate travel insurance. The winner accepts the prize “as is” and acknowledges that Sponsor provides no warranty or guarantee, express or implied, for any component of the prize.

14. GOVERNING LAW:

This Sweepstakes is governed by the laws of the State of California. All disputes will be resolved exclusively in the state or federal courts located in Los Angeles County, California.

15. WINNER LIST:

To request the name of the winner, send a self-addressed, stamped envelope to: Cult Gaia Sweepstakes, 8111 Beverly Boulevard, Floor 2, Los Angeles, CA 90048. Requests must be received by August 1, 2025.

16. SEVERABILITY:

If any provision of these Rules is found to be invalid or unenforceable, such provision shall be severed from the remainder of the Terms, which shall remain in full force and effect.

17. WAIVER:

Sponsor’s failure to enforce any right or provision under these Rules shall not constitute a waiver of that provision or any other provision.
